HumanEdge Healthcare, Education, and Laboratory Staff, Inc. ("HumanEdge") provides the humanedge.com website (the "Site") and all Site-related services (the "Services") subject to the terms of use set forth below and any and all modifications thereto (the "Terms of Use" or "Agreement"). Please read the Terms of Use carefully. By accessing, browsing or using the Site and any Services, you are deemed to have acknowledged acceptance of and expressly agreed to the Terms of Use.

Eligibility

You must be at least 18 years old to access and use the Site and the Services. The Site is not intended to be a children's site.

Void Where Prohibited

Although the Site may be accessible worldwide, not all Services are available to all parties or in all geographic locations or jurisdictions. HumanEdge reserves the right to limit the availability of the Site and/or the provision of any Services to any party, geographic area or jurisdiction it so desires, in its sole discretion. Code of Conduct

While accessing and using the Site and the Services, you agree not to:

  7. Harvest, collect or store information about other users for any purpose inconsistent with the purpose of the Site;
  8. Transmit any content containing software viruses, worms, time bombs, Trojan horses, or any other code designed to interrupt, destroy, or limit functionality;
  9. Interfere with or disrupt the Site, the Services, or servers or networks connected to them;
  10. Transmit any content in violation of another party's patent, copyright, trademark, trade secret, or other intellectual property rights;
  11. Violate any applicable local, state, national or international laws or regulations;
  12. Modify, adapt, sublicense, translate, sell, reverse engineer, decompile, or disassemble any portion of the Site or Services; or
  13. Engage in any activity contrary to the purpose or intention of the Site or the Services.

All materials are the copyrighted property of HumanEdge unless a different copyright holder is identified; all trademarks appearing on the Site, including HumanEdge, are the property of HumanEdge and may not be used without express written permission. You may download material for non-commercial, personal use only, provided you retain all copyright and other notices, do not modify any portion, and retain all attribution.

Disclaimer of Warranties

You acknowledge and agree that the Site, the Services and the Content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. HumanEdge makes no warranty that the Site, Services or Content will meet your requirements, or that your access will be uninterrupted, timely, accurate, reliable, error-free, or secure. HumanEdge does not warrant that you will receive any employment or job offers through the Site, and is not responsible for employment offers, screenings, decisions, or job listings posted by third parties.

Indemnification

You agree to defend, indemnify and hold harmless HumanEdge, its third-party Content providers, affiliates, successors, assignees and their respective owners, directors, officers, employees and agents from and against any and all claims arising out of or in connection with (a) your breach of the Terms of Use, (b) any Content you transmit on or through the Site, and (c) your activities in connection with the Site or the Services.

Modifications & Termination

HumanEdge may at any time, in its sole discretion, modify this Agreement, the Site, the Services, or any fees. Modifications are effective immediately upon notice, which may be given by posting on the Site, electronic mail or conventional mail. HumanEdge may also, at any time and for any or no reason, immediately terminate the Terms of Use or any party's access to the Site or Services.

Miscellaneous

This Agreement is entered into in the State of New York, U.S.A., and shall be governed by and construed in accordance with the laws of the State of New York, exclusive of its choice-of-law rules. Each party submits to the exclusive jurisdiction of the state and federal courts sitting in Westchester County, New York. This Agreement constitutes the entire agreement between the parties pertaining to its subject matter.
